Introduction
These Terms of Service govern your access to and use of AlphaWare s.r.o., including our website, software platform, telematics services, APIs, dashboards, reports, integrations, and related services. By creating an account, accessing the platform, using a free trial, connecting a telematics unit, using our API, or otherwise using our services, you agree to these Terms. If you do not agree to these Terms, you must not use the service.
1. Definitions
For the purposes of these Terms: “Service” means the software, platform, API, dashboards, reports, tracking tools, alerts, integrations, and related services provided by AlphaWare s.r.o.. “User”, “you”, or “customer” means any person or legal entity using the Service. “Tracked Asset” means any vehicle, machine, device, trailer, equipment, or other asset connected to or monitored through the Service. “Telematics Data” means data collected from tracking devices, vehicles, machinery, sensors, integrations, or user input. This may include GPS location, speed, ignition status, route history, mileage, timestamps, fuel data, sensor values, device identifiers, driver activity, and other operational data. “API” means any application programming interface, webhook, integration endpoint, data export mechanism, or automated access method provided by us.
2. Use of the Service
You may use the Service only for lawful business purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Service complies with all applicable laws, including employment, privacy, data protection, telecommunications, transport, fleet management, and surveillance laws. You must ensure that you have the legal right to track any vehicle, machinery, person, device, or asset connected to the Service. You must not use the Service to unlawfully monitor individuals, violate privacy rights, harass, stalk, discriminate against, or otherwise harm any person.
3. Account Registration
To use the Service, you may be required to create an account and provide accurate company, billing, and contact information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must immediately notify us if you suspect unauthorized access to your account. We may suspend or terminate accounts that contain false, misleading, incomplete, or fraudulent information.
4. Free Trials and Abuse Prevention
We may offer free trials, demo accounts, promotional credits, or limited free access at our discretion. Free trials are intended for genuine evaluation of the Service only. You must not abuse free trials by creating multiple accounts, using different email addresses, using multiple company identities, manipulating payment methods, or otherwise attempting to avoid payment. We reserve the right to suspend, ban, delete, or permanently block users, companies, devices, domains, IP addresses, and payment methods that we reasonably believe are abusing free trials or attempting to bypass usage limits. Any abuse of free trials may result in immediate termination of access without notice. We may refuse future access to the Service to any user or company involved in trial abuse.
5. Telematics Devices and Data Accuracy
The Service may rely on telematics devices, GPS signals, mobile networks, satellite positioning, vehicle data, third-party APIs, and other systems outside of our direct control. We do not guarantee that all data will be accurate, complete, uninterrupted, real-time, or error-free. GPS data may be affected by tunnels, buildings, weather, signal interference, device malfunction, network outages, incorrect installation, or third-party service failures. You acknowledge that telematics data should not be used as the sole source of truth for safety-critical, emergency, legal, payroll, tax, or disciplinary decisions without proper verification.
6. Customer Responsibilities
You are responsible for: installing and maintaining devices correctly; ensuring vehicles and machinery are legally trackable; informing drivers, employees, contractors, or other affected persons where required by law; obtaining all necessary consents or legal bases for tracking; keeping account credentials secure; reviewing exported reports before relying on them; ensuring your use of the Service complies with applicable laws; and managing access rights for your employees, users, and integrations. You are solely responsible for the consequences of using the Service in a way that violates applicable law or the rights of another person.
7. Data Protection and Privacy
We process data in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement. Telematics Data may include personal data, especially where vehicle or machinery usage can be linked to a specific driver, employee, contractor, or individual. You are responsible for determining whether your use of the Service involves personal data and for ensuring that you have a valid legal basis for processing such data. Where required by law, you must inform affected individuals about the tracking, the purpose of tracking, retention periods, access rights, and any other legally required information. We may process data to provide the Service, maintain platform security, troubleshoot issues, improve performance, prevent fraud, comply with law, and enforce these Terms.
8. API Access and Data Usage
We may provide access to an API, webhooks, integrations, or automated data export features. API access is provided solely for lawful and authorized use in connection with your account and your own tracked assets. You must not use the API to access data that does not belong to you, scrape, copy, harvest, resell, or redistribute data, circumvent platform limitations or billing rules, overload, disrupt, or reverse engineer the Service, build a competing service using our platform data, store data in violation of these Terms, or share API credentials with unauthorized third parties. You are responsible for all API usage made through your credentials, tokens, keys, or integrations. We may revoke, rotate, limit, suspend, or disable API access at any time if we believe it is being misused, poses a security risk, violates these Terms, or negatively affects the Service.
9. API Data Retention Restriction
Unless we provide written permission otherwise, data obtained through our API may only be stored temporarily for operational use. You must not store, cache, archive, replicate, or save API-obtained Telematics Data in any database, data warehouse, analytics system, backup system, or third-party platform for longer than 24 hours. After 24 hours, you must permanently delete or anonymize the API-obtained data unless a longer retention period has been expressly authorized by us in writing. This restriction applies to GPS coordinates, route history, device data, vehicle data, driver-related data, machine activity, sensor values, timestamps, reports, alerts, and any derived or transformed copy of such data. You may not bypass this restriction by storing hashes, snapshots, calculated copies, mirrored records, partial records, logs, backups, or derived datasets that allow the original data or user activity to be reconstructed. Violation of this section may result in immediate termination of API access, suspension or deletion of your account, contractual liability, claims for damages, and legal action.
10. API Security
You must keep all API keys, tokens, credentials, webhook secrets, and integration credentials confidential. You must not expose API credentials in frontend code, public repositories, mobile apps, client-side applications, logs, screenshots, or unsecured systems. If you suspect that API credentials have been leaked, stolen, or misused, you must notify us immediately. We may invalidate credentials at any time to protect the Service, customer data, or platform security.
11. Rate Limits and Fair Use
We may apply rate limits, request limits, device limits, storage limits, export limits, user limits, and other technical or commercial restrictions. You must not attempt to bypass rate limits by creating multiple accounts, using multiple API keys, rotating IP addresses, distributing requests across accounts, manipulating headers, or using automated tools to avoid detection. Excessive, abusive, automated, or abnormal usage may result in throttling, temporary suspension, additional fees, API restrictions, or permanent termination. We may change rate limits at any time to protect the stability, security, or performance of the Service.
12. Prohibited Conduct
You must not use the Service for illegal tracking or surveillance, track vehicles, machinery, or people without legal authority, interfere with or disrupt the Service, attempt unauthorized access to systems, accounts, devices, or data, reverse engineer, copy, decompile, or exploit the Service, use automated scraping or unauthorized bots, abuse free trials, promotions, or billing systems, resell or sublicense the Service without permission, upload malware, malicious code, or harmful content, misrepresent your identity or company, use the Service to compete unfairly with us, store API data beyond permitted retention limits, or violate applicable data protection or privacy laws. We may investigate suspected violations and cooperate with law enforcement or regulators where appropriate.
13. Payments and Billing
Paid plans are billed according to the pricing, subscription terms, device count, usage limits, or agreement applicable to your account. You agree to pay all fees when due. Fees may be based on active devices, users, vehicles, machinery, API usage, data volume, integrations, support level, or other agreed metrics. Failure to pay may result in suspension, reduced functionality, loss of access, device disconnection, or termination. Unless required by law or agreed in writing, fees are non-refundable.
14. Suspension and Termination
We may suspend or terminate your access immediately if you violate these Terms, fail to pay fees, abuse free trials, misuse API access, create security, legal, technical, or financial risk, violate data protection laws, use the Service for unauthorized tracking, or if we are required to do so by law. Upon termination, your right to use the Service ends immediately. We may delete or restrict access to account data after termination, subject to applicable law, our retention policies, and any contractual obligations.
15. Data Export and Deletion
Depending on your plan, you may be able to export certain data from the Service. You are responsible for exporting any data you need before account termination or deletion. We may retain certain data where necessary for legal compliance, billing, dispute resolution, fraud prevention, security, backups, or legitimate business purposes. Data deletion may not immediately remove data from encrypted backups or logs, but such data will be deleted or overwritten according to our normal retention processes.
16. Third-Party Services
The Service may integrate with third-party providers, including mapping services, hosting providers, mobile network providers, payment processors, cloud infrastructure, email providers, analytics tools, or external APIs. We are not responsible for third-party services, outages, pricing changes, data inaccuracies, or terms imposed by third-party providers. Your use of third-party services may be subject to separate terms and privacy policies.
17. Service Availability
We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, outages, cyberattacks, network failures, third-party failures, hardware issues, or events outside our control. We may modify, update, suspend, or discontinue parts of the Service at any time.
18. Intellectual Property
The Service, software, platform, design, source code, documentation, trademarks, logos, APIs, databases, and related materials are owned by AlphaWare s.r.o. or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You must not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service unless expressly allowed in writing.
19. Customer Data
You retain ownership of the data you upload or generate through your lawful use of the Service. You grant us the rights necessary to process, store, transmit, display, analyze, and use Customer Data solely for the purpose of providing, securing, maintaining, and improving the Service, complying with law, and enforcing these Terms. You represent that you have all rights and permissions necessary to provide Customer Data to the Service.
20. Confidentiality
Information exchanged between you and us that is marked confidential or would reasonably be considered confidential must not be disclosed to third parties without permission. Confidential information does not include information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.
21. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and uninterrupted operation. We do not guarantee that the Service will detect theft, prevent misuse of vehicles, ensure driver safety, prove legal compliance, calculate tax obligations, or provide legally conclusive evidence.
22. Limitation of Liability
To the maximum extent permitted by law, AlphaWare s.r.o. will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profit, loss of business, loss of data, loss of goodwill, operational disruption, or damages arising from reliance on inaccurate telematics data. Our total liability for any claim related to the Service will not exceed the amount paid by you to us for the Service during the three months before the event giving rise to the claim. Nothing in these Terms limits liability where such limitation is prohibited by law.
23. Indemnification
You agree to indemnify and hold harmless AlphaWare s.r.o., its owners, employees, contractors, suppliers, and affiliates from any claims, damages, fines, penalties, losses, costs, or expenses arising from your misuse of the Service, unauthorized tracking, violation of privacy or data protection laws, misuse of API access, storage of API data beyond permitted limits, abuse of free trials, violation of these Terms, or your data, devices, users, customers, drivers, employees, or integrations.
24. Changes to the Terms
We may update these Terms from time to time. If changes are material, we may notify you by email, in-app notification, or by posting an updated version on our website. Your continued use of the Service after changes become effective means you accept the updated Terms.
25. Governing Law and Disputes
These Terms are governed by the laws of Czech Republic, unless mandatory consumer or data protection laws provide otherwise. Any disputes will be resolved by the competent courts of Czech Republic, unless applicable law requires a different venue.
